Paralegal - Remote
The Paralegal (FLSA Non Exempt role) will provide critical support to the executive team and leadership by managing legal documentation, conducting research, and ensuring compliance with regulatory requirements. This role requires strong communication, analytical, and multitasking skills to effectively support the company's corporate and business operations. The Corporate Paralegal/Legal Assistant will be a proactive team member with an ability to work independently and meet deadlines, as dictated by the business, in a high-growth and fast-paced environment.
Responsibilities:
- Draft, review, and maintain corporate documents and records, including contracts, resolutions, bylaws, NDAs, and other legal agreements.
- Manage the lifecycle of contracts, including drafting, tracking approvals, and maintaining organized records in a contract management system.
- Draft and review various corporate documents, such as board resolutions, shareholder agreements, and proxy statements.
- Conduct legal research and analysis on a wide range of corporate law matters to support the business operations, including mergers and acquisitions, vendor and client contractual obligations and corporate governance.
- Support corporate transactions such as mergers, acquisitions, and financings by organizing due diligence materials and preparing related documents.
- Assist with the formation, maintenance, and dissolution of corporate entities, including filing necessary paperwork with state and federal authorities.
- Assist in the creation and implementation of company policies and procedures to ensure compliance with legal standards.
- Monitor and ensure compliance with applicable laws and regulations, including corporate governance standards, licensing requirements, and regulatory filings
- Work closely with executives, leadership and cross-functional teams to address legal and business needs effectively.
- Provide general administrative support for the Legal Department, as needed.
- Other duties, as required.
- Bachelor’s degree and/or paralegal certification from an accredited institution.
- Minimum of three years experience as a corporate or business paralegal in a law firm or corporate setting.
- Experience with mergers and acquisitions is preferred.
- Strong understanding of corporate governance, business law, and regulatory compliance
- Exceptional attention to detail and has strong organizational skills.
- Strong legal research, drafting and analytical skills.
- Excellent written and verbal communication skills.
- Proficiency in legal research tools and document management systems.
- Ability to manage multiple tasks and prioritize effectively under tight deadlines; calendar/schedule and time management skills.
- Can work independently and is self-motivated.
- Proficiency in Microsoft Office Suite and legal software tools.
